By creating an account, subscribing to our Services, or using shoponut.com, you confirm that you are at least 18 years old, have the legal capacity to enter into this agreement, and agree to comply with these Terms.

Shoponut provides a platform for merchants to build, manage, and operate online stores. We offer tools for store creation, order processing, payment integration, and analytics, supported by a central database that includes merchant and customer data. While merchants are our primary users, we process customer data to enable store functionality.

Merchant Accounts: To use our Services, merchants must create an account and provide accurate information, including email, phone number, address, valid identity proof (e.g., government-issued ID), and business proof (e.g., business registration documents). This ensures compliance with Indian laws and prevents misuse by scammers or bots.

Verification: We reserve the right to verify your identity and business details. Failure to provide accurate information may result in account suspension or termination.

Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

Permitted Use:

Merchants may use Shoponut to create and manage online stores, process orders, and access customer data stored in our central database for legitimate business purposes.

You agree to use the Services in compliance with all applicable laws, including Indian laws and regulations in your jurisdiction.

You may not:

Customer Data: Merchants are responsible for managing their relationships with customers, including obtaining consent for data collection (e.g., names, shipping addresses, payment details) and complying with applicable privacy laws. Shoponut processes this data on your behalf but does not assume liability for your compliance.

Store Content: You are solely responsible for the content, products, and services offered through your store, including accuracy, legality, and customer fulfillment.

Payment Processing: You must use approved payment gateways (e.g., Stripe, Razorpay) for transactions and comply with their terms.

Subion Fees: Merchants must pay applicable subion fees to access our Services, as outlined on shoponut.com. Fees are non-refundable unless otherwise stated.

Billing: We use third-party payment processors (e.g., Stripe, Razorpay) to handle payments. You authorize us to charge your chosen payment method for recurring fees.

Late Payments: Failure to pay fees may result in suspension or termination of your account.

Shoponut Ownership: We retain all rights to the platform, including software, design, trademarks, and content provided by Shoponut. You are granted a non-exclusive, revocable license to use the Services as intended.

Merchant Content: You retain ownership of content you upload to your store (e.g., logos, product deions) and grant Shoponut a worldwide, royalty-free license to use, store, and display this content to provide the Services.

Data Processing: Shoponut collects and processes merchant data (e.g., email, identity proof) and customer data from merchant stores (e.g., names, shipping addresses) in a central database to deliver the Services. See our Privacy Policy (#) for details.

Backup: We implement security measures (e.g., encryption), but you are responsible for maintaining backups of your store data.

Aggregate Data: We may use anonymous or aggregate data for analytics and platform improvement.

Our Services integrate with third-party providers (e.g., Google Analytics, Stripe, Razorpay, WhatsApp, Telegram). Your use of these services is subject to their terms and policies. We are not liable for their performance or practices.

By You: You may terminate your account at any time by notifying us. Upon termination, we will delete your data upon request, subject to legal retention obligations.

By Us: We may suspend or terminate your account for non-payment, violation of these Terms, or if required by law, with or without notice.

Effect of Termination: Upon termination, your access to the Services will cease, and unpaid fees remain due.

Our total liability is limited to the amount you paid us in the 12 months prior to any claim, to the extent permitted by law.

Governing Law: These Terms are governed by the laws of India, with disputes subject to the exclusive jurisdiction of courts in New Delhi, India.

Dispute Resolution: We encourage resolving disputes informally by contacting us. If unresolved, disputes will be settled through binding arbitration in New Delhi, except for matters requiring court intervention.

Shoponut operates globally. If you use our Services outside India, you are responsible for complying with local laws. We ensure data transfers comply with applicable regulations (e.g., GDPR for EU users).

We may update these Terms periodically. Significant changes will be communicated via email or a notice on our website. Continued use of the Services after updates constitutes acceptance of the revised Terms.
